1. Introduction and Acceptance of Terms
These Terms of Service govern your access to and use of the Fyncta service family, including Fyncta Cloud, approved Fyncta Web Apps, Fyncta Mobile Apps, and Fyncta AI Vault Private Server.
By creating an account, accessing a Fyncta service, installing Fyncta AI Vault Private Server, or otherwise using the services, you agree to these Terms.
If you do not agree, do not use the services.
These Terms may be supplemented by product-specific notices, billing terms, store-specific terms, or feature-specific disclosures presented to you at the time of use. If there is a conflict, the more specific document will control for that product or feature unless it states otherwise.
2. Eligibility and Account Requirements
You must be legally able to enter into a binding agreement to use the services.
You are responsible for maintaining accurate account information and for safeguarding your authentication credentials.
You may be required to complete identity, verification, billing, or security steps for some features.
If you use the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Definitions
For these Terms:
Fyncta Cloudmeans the Fyncta-hosted control-plane services for identity, authentication, account management, billing, telemetry, pairing, relay coordination, governance, and administration.Fyncta Web Appsmeans approved Fyncta browser-based application surfaces published on approved*.fyncta.comorigins.Fyncta Mobile Appsmeans approved Fyncta native mobile applications.Fyncta AI Vault Private ServerorAI Vaultmeans the local desktop product that may run on a user's device and may provide the intended protected execution, local storage, local memory, local tools, and task-processing boundary for approved app-scoped experiences.partnermeans a partner, developer, publisher, operator, or similar business user governed by a separate partner-facing agreement.
4. The Fyncta Service Family
Fyncta offers a connected service family that may include cloud-hosted account and control-plane services, browser-based product interfaces, mobile client interfaces, and local desktop runtime software.
Some Fyncta experiences may depend on a combination of these surfaces rather than on one standalone website or app.
5. Fyncta Accounts, Sign-In, and Session Continuity
You may use one Fyncta account across supported Fyncta services.
Fyncta may provide shared sign-in and session continuity across approved Fyncta surfaces.
You must not attempt to bypass authentication, share access in unauthorized ways, interfere with session controls, or access accounts that do not belong to you.
You are responsible for all activity that occurs under your account except to the extent caused by Fyncta's own failure to use reasonable security measures.
6. Fyncta Web Apps and Mobile Apps as Client Interface Surfaces
Fyncta Web Apps and Fyncta Mobile Apps are intended to function primarily as client interface surfaces for approved app-scoped experiences.
For supported workflows, those interfaces may present, request, or relay app-scoped actions without becoming the primary protected execution plane for those actions.
Dynamic UI rendering, structured responses, chat-style interactions, or similar presentation features do not determine routing, trust, authorization, or policy by themselves.
For mobile experiences, Fyncta may provide one shared mobile shell across supported platforms. That shell may expose multiple app-scoped agent choices for supported Fyncta experiences, and agent selection and presentation behavior remain within your authorization scope.
7. Fyncta AI Vault Private Server and Local Runtime Responsibilities
When a Fyncta experience is designed to use AI Vault, protected AI inference, local storage, local memory, tools, skills, scheduled tasks, and other app-scoped execution are intended to occur within the user's selected AI Vault Private Server rather than in the browser interface or ordinary mobile UI layer.
AI Vault is a local runtime product and not a general cloud inference fallback service.
Each AI Vault installation is designed to be owner-bound and private to one Fyncta end user at a time. It is not intended to function as a shared multi-user AI Vault environment for unrelated Fyncta end users or as a storage location for another Fyncta end user's protected AI Vault workspace data.
You are responsible for maintaining the local device environment, permissions, and system integrity needed to run AI Vault where required.
You are also responsible for the consequences of uninstalling, disabling, blocking, corrupting, or misconfiguring AI Vault on a device where a Fyncta experience depends on AI Vault for protected execution, except to the extent the issue is caused by a defect in Fyncta software.
8. Subscriptions, Memberships, Billing, Refunds, and Taxes
Some features require paid subscriptions, memberships, or other billing arrangements.
Pricing, billing cadence, renewal behavior, refund rules, trial eligibility, and tax handling may be described during signup, checkout, or in supplemental billing terms.
Unless Fyncta expressly states otherwise, paid membership or subscription prices are presented before applicable sales, value-added, goods-and-services, or similar taxes. During checkout or payment, applicable taxes may be calculated based on the end user's billing country, region, or other jurisdictionally relevant location information.
End-user card payments may be handled by third-party payment providers such as Stripe and Paddle rather than directly by Fyncta.
You authorize Fyncta and its payment providers to charge applicable amounts when due.
If you do not pay amounts when due, Fyncta may suspend or limit access to paid features after providing any notice required by law or contract.
9. Acceptable Use and Prohibited Conduct
You must not:
- use the services for unlawful, fraudulent, harmful, or abusive activity
- attempt unauthorized access to accounts, systems, data, or non-public endpoints
- interfere with security controls, origin restrictions, app-scoped authorization, or relay protections
- use the services to distribute malware, spam, or deceptive content
- use the services in ways that violate rights of others or applicable law
Fyncta may suspend or restrict access to protect users, partners, the platform, or third parties.
10. User Content, Inputs, Uploaded Materials, and Permissions
You may provide prompts, files, records, messages, settings, and other inputs through the services.
You retain rights you already have in your content, but you grant Fyncta the limited rights needed to operate, secure, maintain, and improve the services as described in the Privacy Policy and applicable product flows.
You represent that you have the rights needed to provide any content you submit.
You must not submit content that you do not have the right to use, disclose, process, or transmit in the manner required by the services.
11. AI Features, Outputs, and User Responsibility
Some services may generate suggestions, summaries, classifications, structured content, or other AI-assisted outputs.
AI output may be incomplete, inaccurate, or unsuitable for your circumstances.
You are responsible for reviewing outputs before relying on them in legal, financial, medical, operational, safety-sensitive, or other consequential contexts.
Fyncta does not provide legal, financial, tax, medical, or other licensed professional advice through AI features unless Fyncta expressly states otherwise in a separate written offering.
12. Remote Access, Pairing, Relay, and Security Controls
Some Fyncta experiences may support device pairing, relay-backed connectivity, remote session bootstrap, or other remote access features.
Where supported, relay services are intended to act as transport and session-coordination layers rather than as the default protected execution plane for app-scoped AI work.
You must not attempt to bypass pairing rules, impersonate devices, weaken app-scoped revalidation, or misuse remote access flows.
Remote availability may depend on device state, AI Vault readiness, approved client type, app policy, network conditions, and other security prerequisites.
13. Service Availability, Maintenance, Updates, and Beta Features
Fyncta may modify, maintain, suspend, or discontinue services or features at any time, including for security, legal, or operational reasons.
Some features may be labeled beta, preview, experimental, or similar and may be more limited or unstable.
Fyncta may install or require updates, patches, configuration changes, or compatibility changes for security, functionality, or legal compliance.
14. Third-Party Services, Open-Source Components, and External Integrations
The services may rely on third-party services, payment providers, open-source components, or external integrations.
Fyncta is not responsible for third-party services except as required by law.
15. Intellectual Property and Platform Rights
Fyncta and its licensors retain all rights in the services, software, branding, designs, and related materials, except as expressly granted.
These Terms do not grant you ownership of the services or any Fyncta intellectual property.
Subject to these Terms, Fyncta grants you a limited, non-exclusive, non-transferable, revocable right to access and use the services for their intended purpose.
16. Suspension, Restriction, and Termination
Fyncta may suspend, restrict, or terminate access if you violate these Terms, create legal or security risk, fail to pay required fees, or misuse the services.
You may stop using the services at any time, subject to any obligations that survive termination.
Sections that by their nature should survive termination will survive, including provisions relating to payments owed, intellectual property, disclaimers, liability limits, indemnity, dispute resolution, and records retained as required by law.
17. Disclaimers of Warranties
To the maximum extent permitted by law, the services are provided on an as is and as available basis without warranties of any kind, whether express, implied, or statutory.
18. Limitation of Liability
To the maximum extent permitted by law, Fyncta will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities.
Any direct liability will be limited to the amount you paid to Fyncta for the relevant service during the 12 months before the event giving rise to the claim.
19. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Fyncta, its affiliates, and their personnel from claims arising out of your misuse of the services, your content, or your violation of these Terms or applicable law.
20. Governing Law, Venue, and Dispute Resolution
These Terms and any non-contractual dispute or claim arising out of or in connection with these Terms or the services are governed by the laws of the United Arab Emirates as applied in the relevant free zone in which Fyncta.com is established, without regard to conflict-of-laws principles.
You and Fyncta.com agree that the courts having jurisdiction in that United Arab Emirates Free Zone, and where those courts do not accept jurisdiction, the courts of Dubai, United Arab Emirates, will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the services.
21. Changes to These Terms
Fyncta may update these Terms from time to time.
If required, Fyncta will provide notice through the services, by email, or by other reasonable means.
Your continued use after the effective date of updated Terms constitutes acceptance of the updated Terms, unless applicable law requires a different form of consent.
